Wholesale terms of sale and account agreement
These terms are an agreement between Eronest ("Eronest", "we", "us") and the business that applies for or uses an Eronest wholesale account ("you"). By ticking the box when you apply, or by placing an order, you agree to them. Eronest sells to businesses only.
1. Business buyers only
- Eronest sells wholesale goods to businesses for resale or business use. We do not sell for personal, family or household use.
- You confirm that you are at least 18 years old and are allowed to bind your business to these terms.
2. Your account and our approval
- We review every application. We may approve, decline or limit any application, and we may suspend or close an account, for example if documents are missing, out of date or not genuine.
- You must give accurate information and keep it up to date: business name, address, contact details and certificates.
- You must confirm your email address with a one-time code. Keep your password private. You are responsible for everything done under your account, and you must tell us promptly if you think someone else has used it.
- Approval of an account does not mean we must accept any particular order.
- You agree that we may send you notices and records electronically, by email and on this website, and that ticking the agreement box is your electronic signature.
3. Business documents
We ask for documents such as a business license or registration, a resale or tax-exempt certificate and an EIN letter. We use them to confirm that you are a genuine business and to handle sales tax and regulated products correctly.
- You confirm that every document you upload is genuine, belongs to your business and is current. Uploading a false or altered document is grounds for closing your account and may be unlawful.
- Please do not send Social Security numbers or bank account details. If they appear on a page, cover them before you upload it.
- Your documents are kept private. Who can see them is explained in the privacy policy below.
- You can upload newer versions at any time from your account.
4. Orders, quotes and prices
- Orders and quote requests sent through the website are requests, not contracts. A contract exists only when we confirm your order in writing, by email or invoice.
- Prices are in U.S. dollars per unit and depend on the quantity tier. Products are sold by the case, with the minimum order shown on each product.
- Prices, descriptions and availability can change. We may correct errors, including pricing errors, and cancel or adjust an order affected by one before it ships. We will tell you if we do.
- Prices do not include shipping, handling or taxes unless your invoice says so.
5. Payment
- We do not take payment on the website. Payment methods and terms (prepayment, or credit terms we have agreed with you in writing) are stated on your invoice.
- If an invoice is overdue we may charge interest of 1.5% per month, or the highest rate the law allows if that is lower, and we may hold or cancel open orders. To the extent the law allows, you also pay our reasonable costs of collecting what you owe.
6. Sales tax and resale certificates
- If you buy for resale and give us a valid resale or exemption certificate for the state we ship to, we will treat qualifying orders as exempt as that state's law allows. Otherwise we collect the sales tax that applies.
- You are responsible for the accuracy of every certificate you give us and for using it correctly. If you claim an exemption you are not entitled to, you agree to pay the tax, interest and penalties that result.
- We may ask you to refresh a certificate from time to time. If it is missing, expired or rejected, we may charge tax on your orders.
7. Shipping, delivery and inspection
- Shipping charges, carriers and delivery dates are quoted per order. Dates are estimates, not promises.
- Unless we agree otherwise in writing, ownership and risk of loss pass to you when we hand the goods to the carrier.
- Inspect every delivery. Note visible damage on the carrier's delivery receipt, and tell us in writing, with photos, about damage, shortages or wrong items within 5 business days of delivery (2 business days for perishable goods). We may refuse later claims.
8. Returns
- Wholesale goods are final sale, except items that arrive wrong, damaged, defective or short as reported above, or where we agree otherwise in writing.
- We do not accept returns of perishable, opened, custom-ordered, special-ordered or clearance items.
- Ask us for approval before you send anything back. A restocking fee of up to 15% may apply to approved returns of goods that are not defective.
9. Regulated and age-restricted products
- Some products, such as alcohol, supplements and other restricted goods, can only be bought and resold by licensed businesses. You must hold and keep every license and permit that your state and city require, send us copies when we ask, and use these products only as the law allows.
- We ship regulated products only where it is lawful, and we may refuse or cancel any order for them.
- You are responsible for following the laws that apply to your resale, including food safety, labeling, alcohol and product recall rules.
10. Product information and warnings
- We try to keep descriptions, images and specifications accurate, but manufacturers change them. Images are illustrations. Check the label before you resell.
- Some products can expose people to chemicals that the State of California lists as causing cancer or reproductive harm (Proposition 65). You are responsible for passing on any warning the law requires to your own customers. Ask us if you need the details for a product.
- If a product is recalled, we may contact you, and you must stop selling the affected items.
11. Warranties and limit of liability
Goods carry only the manufacturer's warranty, which we pass on to you as far as we can. Except as stated in these terms, goods are sold "as is", and to the fullest extent the law allows we disclaim all other warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose.
Our total liability for any claim connected with an order is limited to the price you paid for the goods the claim is about. We are not liable for lost profits, lost sales, business interruption, or indirect, incidental, special, consequential or punitive damages. Some states do not allow certain limits, so these apply only as far as the law permits.
12. Our name and your use of the website
- Brand names on products belong to their owners. The Eronest name, logo and website content belong to us. Do not copy them or suggest that you are connected to us or to a brand without written permission. You may of course resell the genuine goods you buy.
- Do not misuse the website: no attempts to get unauthorized access, no scraping at scale, no malware, no unlawful content and no using someone else's identity.
13. Ending your account
- You can close your account at any time by contacting us. We may suspend or close an account at any time.
- Closing an account does not cancel orders we have already confirmed or what you owe us.
14. Disputes and governing law
- If there is a problem, write to us first and give us 30 days to put it right before either side starts a lawsuit.
- These terms are governed by the laws of the state in which Eronest is organized and applicable federal law, without regard to conflict-of-law rules. Any lawsuit must be brought in the state or federal courts located there, and you agree to those courts.
15. Changes to these terms
We may update these terms. The version date is at the top of this page. If we make a material change we will tell you by email or when you next sign in, and your continued use of your account after that means you accept the change. A change does not affect orders we have already confirmed. These terms were last updated on October 28, 2026.
